Terms of Service
Last updated: 3 October 2026
These Terms of Service govern access to and use of RigorOS, including the RigorOS Workspace, organisation-specific RigorOS Portals and related services.
RigorOS is currently provided by RigorOS Ltd, a New Zealand company ("RigorOS", "we", "us" or "our").
By accessing or using RigorOS, you agree to these Terms. If you use RigorOS on behalf of an organisation, your organisation may also be subject to a separate agreement with us.
RigorOS and organisational use
RigorOS is a platform for capturing organisational knowledge and making expert judgement executable through governed evaluation.
Organisations can use RigorOS to manage knowledge, define evaluation methodology and standards, calibrate the application of judgement, and make that expertise available to authorised audiences.
RigorOS uses artificial intelligence as part of delivering these services.
The primary customer relationship for RigorOS is with the organisation using the service.
Access and roles
An Organisation may authorise individuals to access RigorOS in different roles, including Organisation Owners, Group Managers, Authors and Learners.
The Organisation is responsible for determining who it authorises to access its RigorOS environment and Offerings and for managing those permissions appropriately.
A Learner does not necessarily need to be an employee, student or formal member of the Organisation. However, a Learner may access an Organisation's Offering only where the Organisation has legitimately invited or otherwise authorised that participation.
Users must not access another person's account, accept an invitation intended for another person, or attempt to gain access to an Organisation, Offering or information they are not authorised to access.
You must be legally capable of using RigorOS or have any authorisation required from your organisation, parent, guardian or other responsible person.
Organisations are responsible for determining whether their intended use of RigorOS is appropriate for their users, including where users are children or young people, and for obtaining any permissions or consents required by applicable law.
Accounts and security
You must provide accurate information when creating or accepting an account and keep your authentication credentials secure.
You are responsible for activity undertaken through your account where that activity results from your own actions or failure to protect your credentials.
You must promptly notify us if you reasonably believe your account or an Organisation's RigorOS environment has been accessed without authorisation.
We may require reasonable security measures or restrict access where necessary to protect RigorOS, its users or Customer Content.
Customer Content
"Customer Content" means content provided to or created within RigorOS by or on behalf of an Organisation or its authorised users, including organisational knowledge, Source Material, Reference Examples, evaluation methodology, submissions, Evaluation content and related information.
As between RigorOS and the customer, the customer and its users retain their existing rights in Customer Content. Using RigorOS does not transfer ownership of Customer Content to us.
You grant RigorOS a limited right to host, copy, process, transform, transmit and otherwise use Customer Content only as reasonably necessary to:
- provide and operate the service;
- perform authorised Evaluations and related functions;
- secure and maintain RigorOS;
- comply with applicable law; and
- fulfil our obligations to the Organisation.
This right lasts only for as long as reasonably necessary for those purposes, subject to legitimate retention requirements described in our Privacy Policy or an applicable Organisation agreement.
RigorOS does not acquire the right to independently commercialise an Organisation's proprietary knowledge, methodology, Reference Examples or learner work merely because that content is processed through the service.
Organisations and users are responsible for ensuring that they have the rights and authority necessary to provide Customer Content to RigorOS and to authorise its intended processing.
You must not knowingly use RigorOS to upload or process content where doing so infringes another person's intellectual-property, privacy or other legal rights.
Organisations are responsible for determining what knowledge, methodology and materials they choose to govern and make available through RigorOS.
RigorOS intellectual property
RigorOS and its licensors retain all rights in the RigorOS platform and related intellectual property, including its software, interfaces, system architecture, platform design, documentation, branding and technology.
Except for the rights necessary to use the service in accordance with these Terms, no rights in RigorOS intellectual property are transferred to users or Organisations.
If you provide feedback or suggestions about RigorOS, we may use that feedback to develop and improve the service. This does not give us ownership of Customer Content or of an Organisation's underlying expertise, methodology or intellectual property.
AI, Evaluations and organisational responsibility
RigorOS uses artificial intelligence to apply organisational knowledge, standards and evaluation methodology.
RigorOS Evaluations are intended to support learning, feedback and the application of expert judgement. They are not, by default, formal academic marking, accreditation, certification or an independent professional or regulatory determination.
An Organisation may determine how RigorOS Evaluations are used within its own programmes and processes, subject to applicable law, institutional policy and any separate agreement with RigorOS.
RigorOS does not warrant that a score, band, critique, recommendation or other Evaluation output will correspond to an official academic grade or to the judgement of a particular human assessor.
Where an Organisation intends to use RigorOS output as part of a consequential academic, professional, regulatory or similar decision, the Organisation is responsible for determining whether appropriate human review, governance or other safeguards are required.
Organisations may use Reference Examples and Calibration to define and refine how their standards and expert judgement are applied.
The Organisation is responsible for the knowledge, standards, methodology and expert decisions it configures within RigorOS.
RigorOS provides infrastructure for making that expertise executable; it does not independently determine what an Organisation's standards should be.
Learner use
Learners may submit work to authorised Offerings and receive Evaluations, feedback and related functionality made available by the Organisation.
Learners must use RigorOS only through Offerings and functionality they are authorised to access.
RigorOS Evaluations should not be represented by Learners as official grades, marks, certifications or institutional decisions unless the relevant Organisation has expressly designated them as such.
Learners remain responsible for their own work and for complying with the academic-integrity, authorship and other rules of the Organisation through which they use RigorOS.
Acceptable use
You must not:
- attempt to gain unauthorised access to RigorOS, another account, Organisation or Customer Content;
- interfere with the security, integrity or operation of the service;
- circumvent access controls or usage restrictions;
- use automated methods to probe, scrape or overload the service without authorisation;
- upload malicious software or content intended to compromise the service;
- use RigorOS unlawfully or to infringe the rights of others;
- attempt to extract confidential Customer Content belonging to another Organisation;
- misrepresent RigorOS output as an official decision where it has not been designated as one.
Reasonable use of RigorOS APIs or automation expressly provided or authorised by us is permitted.
Privacy and data protection
Our collection and handling of personal information is described in the RigorOS Privacy Policy.
Organisations may have their own obligations under privacy, education, employment or other applicable laws when using RigorOS.
Where an Organisation and RigorOS enter into additional data-protection or privacy terms, those terms also apply.
Service changes and availability
We use reasonable care in providing and maintaining RigorOS. However, RigorOS is an evolving software service and may occasionally be unavailable, interrupted or affected by errors, maintenance, third-party services or circumstances outside our reasonable control.
We do not guarantee uninterrupted or error-free operation.
We may modify, improve, replace or discontinue features as RigorOS develops. Where a material change would significantly affect an Organisation's agreed use of the service, we will take reasonable steps to communicate that change.
Fees and payment
Fees and payment arrangements for an Organisation's use of RigorOS are governed by the applicable proposal, order, pilot agreement, subscription agreement or other written agreement between RigorOS and that Organisation.
Unless separately agreed, these Terms do not create any particular subscription period, renewal commitment or pricing arrangement.
An Organisation may stop using RigorOS in accordance with its applicable agreement with us.
Suspension and termination
We may suspend or restrict access where reasonably necessary to:
- respond to a material breach of these Terms;
- address a security or privacy risk;
- prevent unlawful or harmful use;
- protect RigorOS or other customers; or
- comply with law.
Where reasonably practicable, we will seek to address material issues with the Organisation before terminating its access.
Handling of Customer Content following termination is governed by our Privacy Policy, any applicable Organisation agreement and legal or legitimate record-retention requirements.
Third-party services
RigorOS relies on third-party infrastructure and technology providers to operate the service. Their availability or performance may affect RigorOS.
Our use of providers that process personal information or Customer Content is addressed in our Privacy Policy and, where applicable, agreements with Organisations.
Disclaimers
To the extent permitted by law, RigorOS is provided on an "as available" basis.
We do not warrant that:
- the service will always be available or free from errors;
- AI-generated output will always be complete or correct;
- an Evaluation will reproduce the judgement of a particular human expert;
- an Evaluation will correspond to an official grade or outcome; or
- RigorOS will meet requirements that have not been agreed with us.
Nothing in these Terms excludes warranties, guarantees or rights that cannot lawfully be excluded.
Liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, consequential or special loss arising from use of RigorOS, including loss of profits, revenue or anticipated savings.
To the maximum extent permitted by law, RigorOS's aggregate liability arising from or relating to the service or these Terms will not exceed the greater of:
- NZ$1,000; or
- the fees paid by the relevant Organisation to RigorOS during the 12 months immediately preceding the event giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
An Organisation's separate written agreement with RigorOS may specify different liability arrangements.
Organisation responsibility
An Organisation is responsible for claims arising from Customer Content or uses of RigorOS that the Organisation has authorised where the claim results from:
- content the Organisation did not have the right to provide or use;
- an Organisation's unlawful use of RigorOS; or
- an Organisation's material breach of these Terms.
This section does not require an Organisation to indemnify RigorOS for loss caused by RigorOS's own breach, negligence or unlawful conduct.
Confidentiality
Each party may receive confidential information belonging to the other through its relationship with RigorOS. Each party must take reasonable steps to protect confidential information and use it only for the purposes for which it was provided, except where disclosure is authorised or required by law.
Customer Content that is confidential to an Organisation remains that Organisation's confidential information.
Governing law
These Terms are governed by the laws of New Zealand.
The courts of New Zealand have jurisdiction in relation to disputes arising from these Terms, subject to any dispute-resolution process agreed separately with an Organisation.
Separate agreements
RigorOS may enter into a separate pilot agreement, subscription agreement, data-processing agreement or other written agreement with an Organisation.
If a separate written agreement between RigorOS and an Organisation conflicts with these Terms, the separate agreement prevails to the extent of that inconsistency.
Changes to these Terms
We may update these Terms as RigorOS develops or where legal, operational or security requirements change.
The current Terms will be published at rigoros.org/terms, with the latest update date shown above.
Where a material change significantly affects an existing Organisation's rights or obligations, we will provide reasonable notice where appropriate.
